Jeff focuses his practice on advising middle market and emerging growth companies, as well as venture capital and private equity fund investors, in avoiding, managing, and mitigating risk and litigation associated with corporate transactions and business operations. In addition to his strategic risk advisory practice, Jeff acts as a business advisor to companies and investors on general corporate and business law matters, helping them realize their strategic business objectives and goals while managing their risk exposure. Jeffâs practice includes assisting companies and investors with mergers and acquisitions, joint ventures, negotiating and drafting complex commercial contracts, financing, corporate governance, entity formation, and private equity and venture capital investments, as well as general business litigation. Prior to law school, Jeff obtained degrees in Finance and also in Accounting and Information Systems from Virginia Tech. Jeff then worked as an auditor for Deloitte analyzing the relevance and reliability of financial statements for a multitude of companies, as well as providing assurance regarding internal controls. Thereafter, Jeff worked as a regulatory analyst for Wachovia Securities preparing and analyzing regulatory reports for the NYSE, NASDAQ, and AMEX. After graduating first in his class from the University of Richmond School of Law, Jeff clerked for the Honorable C. Arlen Beam with the United States Court of Appeals for the Eighth Circuit. Jeff then joined the Complex Commercial Litigation group of McGuireWoods LLP where he handled all aspects of litigation in state and federal court, including pre-litigation mitigation efforts, discovery, motions practice, trials, and appeals. Jeffâs portfolio of cases included business and commercial disputes, contract actions, real estate matters, banking and finance issues, director and officer fiduciary duties and liabilities, securities matters, and more.
